These Terms of Service (“Terms”) govern your access to and use of the website located at globalinstituteofpeople.org (the “Website”), operated by Global Institute of People, LLC (“GIP,” “we,” “us,” or “our”).

By accessing or using the Website, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age to access or use the Website or any associated features.

If you are under 18, you may use the Website only with the consent and supervision of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

2. Nature of Services

Global Institute of People (GIP) operates as a private, independent professional community and recognition-based platform.

GIP does not provide academic degrees, licensed certifications, government-accredited programs, or regulated professional qualifications. Any memberships, recognitions, titles, acknowledgments, or certifications offered through the Website are internal, non-accredited, and intended solely for professional development, community engagement, and private association purposes.

3. Accounts

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach.

4. Intellectual Property

All content on the Website, including text, graphics, images, videos, software, trademarks, frameworks, curricula, and logos, is owned by Global Institute of People, LLC or its licensors and is protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, publish, sublicense, or create derivative works without prior written permission from GIP.

5. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation

  • Interfere with the security or operation of the Website

  • Upload or transmit unlawful, harmful, deceptive, or misleading content

  • Attempt unauthorized access to accounts, systems, or data

6. No Professional or Career Guarantees

GIP does not guarantee employment, income, licensing, immigration outcomes, business approval, or professional advancement. All content and services are provided for informational, professional development, and private community purposes only.

7. Termination

We may suspend or terminate your access to the Website or services at our sole discretion if you violate these Terms or misuse the Website. Where required by law, reasonable notice will be provided.

8. Disclaimer of Warranties

The Website and services are provided on an “as is” and “as available” basis.

GIP makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, GIP shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Website or services.

10. Privacy

Your use of the Website is also governed by our Privacy Policy, as incorporated below.

11. Governing Law and Venue

These Terms shall be governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located within Kentucky.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
 

MASTER SERVICES AGREEMENT, TERMS OF USE, AND PRIVACY POLICY

Effective Date: February 11, 2026
Primary Contracting Entity: Global Institute of People LLC (“GIP”), a Kentucky Limited Liability Company
Authorized Facilitator: VIP Network LLC (“VIP”), a United Arab Emirates Limited Liability Company

 

This Master Services Agreement (“Agreement”) forms an integral part of the Terms of Service and governs all paid services, programs, certifications, memberships, and cross-border operations offered by GIP.
 

1. Legal Engagement and Scope

By accessing GIP’s digital infrastructure, enrolling in the AI Architect Course, applying for the Kentucky Business Club, or submitting payment through VIP Network LLC, you (“Client”) enter into a legally binding agreement with GIP.

These Terms govern the professional relationship between GIP (the Service Provider) and VIP (the authorized Payment and Operational Facilitator).

2. Cross-Border Operational Structure

Agency Relationship:
Client acknowledges that GIP operates globally through a strategic alliance with VIP Network LLC in the United Arab Emirates. VIP is authorized solely to act as a payment collection agent and operational facilitator.

Jurisdictional Nexus:
While payments may be processed in the UAE, the underlying service contract is domiciled in the Commonwealth of Kentucky, USA. All deliverables, certifications, and business services are governed by United States standards.

 
3. Services and Professional Limitations

Kentucky Business Club:
GIP provides administrative and educational consultancy related to business formation. GIP is not a law firm, accounting firm, or government authority. Members remain solely responsible for ongoing compliance, filings, taxes, reporting obligations, and legal requirements.

 

AI Architect and C-Level Programs:
These programs are professional development certifications only. They do not constitute academic degrees, academic credit, or professional licensure under U.S. or international regulatory bodies.

 
4. Financial Compliance and Payment Terms

Payment Facilitation:
All payments made to VIP Network LLC are deemed payments made directly to GIP.

 

Finality of Sale:
Due to proprietary intellectual property and irreversible administrative and state filing costs, all transactions are final and non-refundable.

​

Taxes:
Clients are responsible for any applicable VAT, withholding taxes, or local tax obligations in their jurisdiction.

 
5. Privacy Policy and Data Sovereignty (KCDPA Compliance)

In accordance with the Kentucky Consumer Data Protection Act (KCDPA):

  • GIP acts as the Data Controller

  • VIP acts as the Data Processor
     

Client Rights:
Clients have the right to confirm, access, correct, delete, and request portability of their personal data.

 

Profiling and Data Sale:
GIP does not sell personal data. Clients may opt out of automated profiling used for marketing decisions by contacting privacy@globalinstituteofpeople.org.

 

Cross-Border Data Transfer:
By using GIP services, Clients consent to the transfer and processing of data between the United States and the United Arab Emirates under contractual data protection safeguards.

Sensitive Data:
GIP does not collect sensitive personal data (including biometric data, precise geolocation, or ethnic origin) without explicit written affirmative consent.

 
6. AI Governance and Transparency

GIP adheres to a Human-in-the-Loop governance framework:

  • AI systems may be used for preliminary review, grading, or vetting.

  • Any decision affecting certification denial, suspension, or termination is subject to mandatory human review by a GIP executive.

7. Intellectual Property and Restrictive Covenants

All curricula, frameworks, methodologies, and materials related to the AI Architect program and Kentucky Business Club are protected under U.S. Copyright Law (17 U.S.C. § 101 et seq.).
 

License:
Clients are granted a limited, single-user, non-transferable license for personal use only.

 

Prohibited Conduct:
Scraping, redistribution, resale, AI-model training, or unauthorized use of GIP materials is strictly prohibited and may result in liquidated damages equal to ten (10) times the applicable program fee, plus legal costs.

8. Indemnification and Limitation of Liability

Force Majeure:
GIP is not liable for delays or failures resulting from regulatory changes, government actions, technological shifts, or events beyond reasonable control.


Liability Cap:
To the maximum extent permitted by Kentucky law, GIP’s total liability shall not exceed the total fees paid by the Client during the six (6) months preceding the claim.

9. Mandatory Arbitration and Governing Law

Governing Law:
This Agreement shall be governed by the laws of the Commonwealth of Kentucky, USA.

 

Arbitration:
Any dispute shall be resolved exclusively through binding arbitration in Lexington, Kentucky, under the rules of the American Arbitration Association (AAA). Arbitration proceedings shall be conducted in English.

Acceptance

By accessing the Website, enrolling in any program, or submitting payment to VIP Network LLC, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service and this Master Services Agreement.
